Term: as soon as possible

The phrase "as soon as possible" in a contract means that the obligation to which it refers must be performed not within a reasonable time but within a period of time having regard for the other obligations under the contract and with regard to the relevant party's obligations outside the contract, to a limited extent. The meaning of the term within a specific contract may be explained by reference to other provisions in the contract.

Usage: The contract provided that the goods were to be delivered as soon as possible.
