Term: choice of law clause

A choice of law clause is a paragraph in a contract stating the system of law (with reference to a country) that will govern the interpretation and resolution of disputes arising under the contract.
Such clauses are usually simply stated, "This contract shall be construed in accordance with English law". Jurisdiction clauses usually appear in conjunction with jurisdiction clauses.
Usage: The choice of law clause provided that the law of the contract was English law.
