Term: invalid notice

In respect company meetings, if notice of a meeting is not given in the proper form to all shareholders,  resolutions passed at either an annual general meeting or an extraordinary general meeting are deemed invalid, Table A Article 111.

Should an error be deemed to be accidental in the provision of any particular notice, it may be possible in some cases, should the articles of association of the company permit, for the resolutions to be deemed valid. If the mistake is deemed to be deliberate then the resolution will be void. A number of problems may arise from an invalid resolution of the company. Directors of the company subsequently do not have the management authority to have acted on the resolution which could lead to breaches of directors' duties and contracts of the company could be held ultra vires as directors will have acted beyond their actual authority in their powers to bind the company to contracts.

Usage: The resolutions at the general meeting were void due to invalid notice.
